The following enquiry was posted to MCofS, Monday 9th June:

I write to you in my role as Secretary of the Ochils Mountaineering Club.
At a recent Business Meeting of the Ochils Mountaineering Club, concern was expressed regarding the proposed increase in the level of subscriptions for Club members of MCofS.
Initially, the meeting wished to propose an amendment, but the rule which states that any proposal/amendment must be submitted by 28th June precluded us from taking this step.
As a result, I have been instructed to ascertain from you how individual members may make their views known at the AGM, in particular if there are any arrangements for proxy voting. As a club of approximately 130 members, do we need to send 130 delegates to the AGM to make our views known?

Thank you for your enquiry.



May I initially refer you to the MCofS Articles of Association at http://www.mcofs.org.uk/assets/pdfs/articles.pdf



Under Article 5.11 concerning voting, Ochils MC as a Club Member is entitled to 30 votes at a general meeting, based on the 136 members registered with MCofS as of today’s date.



Article 5.11 further states that “… Club Members who do not intend to be present may exercise their votes by post by submitting a written intimation of their vote, signed by … [the club] secretary or equivalent officer to be in the hands of the Company at least 2 working days before a General Meeting”.



Regarding the date of 28 June, article 5, referring to General Meetings, states that the "fixing of members' annual subscriptions" is a standard business of the Annual General Meeting (Article 5.3.e.). As such, the Treasurer’s recommendation may be put to the vote at the AGM as a standard business item. The date of 28 June referred to in the Notice of the AGM sent to club secretaries on 1 May 2008 relates to “motions or resolutions outwith the standard business of the AGM” and as such does not apply to voting on the fixing of annual subscriptions. Please see Article 5.3 penultimate paragraph for the complete wording.

On reflection, I should perhaps have made it clear that one person (designated by your club) can 'deliver' all the 30 votes at the AGM - in any proportion as directed by the Club. Alternatively a postal vote is perfectly acceptable.

Hi Ian,

Having missed the business meeting due to teething issues, I have no idea what this is about. Are the MCofS are proposing an increase in our fees for some purpose or other?

Actually, one thing - The MCofS access officer, Hebe Carus, was very helpful when I contacted him earlier this year asking about Alladale situation. He seemed competent, well informed and helpful.
This may not have much bearing on how people feel his work should be funded, but I thought it worth saying.

Hebe is actually a she, but I agree with you that she is very committed and helpful. She used to be a ranger for the National Trust at Ben Lawers, and so is very well informed on access and conservation issues. I think her part of the MCofS magazine is very useful and interesting, and we should support her in her access role by sending photos of poor practice (signs, locked gates etc) which runs counter to the Access legislation.
